LCN Legal hosts seminar on legal issues relating to group reorganisations

On 21 April 2016, LCN Legal hosted a seminar on legal issues relating to group reorganisations and business integration projects. The event was for tax, legal and company secretarial professionals in large corporates and in private practice. The event was hosted at the Corinthia Hotel, London, and our guests represented organisations such as Bank of America Merrill Lynch, Cigna Insurance, Duff & Phelps, JF White, Marsh & McLellan, Northern Gas, Phoenix Group, PLS Tax, ReSolve and Valad.

The seminar was presented by Paul Sutton and Ivan Hanna of LCN Legal. Specific issues discussed included:

• The practical implications of defects in the legal implementation of intra-group transactions
• What transactions are at risk of constituting unlawful deemed distributions and what can be done to mitigate these risks
• How the solvency statement procedure can be used to create reserves
• The other most common methods of returning capital to shareholders and things to watch out for
• When to remove companies by strike off, and when a members’ voluntary liquidation (MVL) is advisable
