A typical scenario

The LCN Legal loan note fundraising toolkit may be used for the following scenario:

  • A UK company limited by shares will be incorporated as a special purpose vehicle (SPV) to acquire UK property. The shares in the SPV will be held by a single shareholder.
  • The property will be held as an investment or for development and sale.
  • The SPV will raise finance by offering loan notes to UK exempt investors (e.g., certified HNWIs, sophisticated investors, etc.). The loan notes will be non-transferable.
  • Prospective investors will be properly categorised before any investment opportunity is presented to them.
  • The investors will receive a fixed return on their investment (and there will be no profit share element in their return).
  • The loan notes will be secured by a first or second charge over the relevant property.
  • Property-related services will be provided to the SPV by an existing property advisory company.
