On 7 July 2016 LCN Legal will present a seminar on the legal issues relating to mergers in group reorganisations. In addition to other methods of business integration, the seminar will include a discussion of Cross Border Mergers (CBMs) under EC Directive 2005/56/EC – a procedure which is often considered, but far less frequently used in practice.
Who the seminar is for
The seminar is for in-house finance/treasury, tax, legal, and company secretarial professionals within large corporates, financial institutions and SMEs. The seminar is also open to tax advisers in private practice who are involved in the structuring and implementation of group reorganisations.
What attendees can expect to receive
The seminar will provide attendees with an overview of legal and practical issues relating to mergers in group reorganisations. This will include:
- “true” Cross Border Mergers (CBMs) under EC Directive 2005/56/EC: how they work, and key legal feasibility issues
- mergers by way of asset transfer: key legal issues under English law
- Pros and cons of “true” mergers vs asset transfers
The seminar will include an open discussion of corporate restructuring issues, and the presenters will be available immediately after the seminar to answer whatever legal questions delegates may wish to raise.
About the presenters, Paul Sutton and Ivan Hanna
The seminar will be presented by Paul Sutton and Ivan Hanna. Paul is a co-founder of LCN Legal, and has over 20 years’ experience of leading corporate restructuring projects for large corporates and SMEs. He has presented seminars and led workshops on this subject for “Big Four” and mid-sized accounting firms, banks, investment funds, and in-house tax, legal, finance and company secretarial teams in large corporates and financial institutions.
Ivan Hanna is an Associate Director with LCN Legal and an experienced corporate lawyer, having trained and worked at international law firm Baker & McKenzie. Ivan gained further experience of corporate restructuring and business integration projects as an M&A and post-merger integrations lead at Accenture and as Senior Group Legal Counsel for the Phoenix Group, the UK’s largest life insurance consolidator.

The seminar will be held on Thursday, 7 July 2016. Registration will begin at 9.30am. The seminar itself will begin at 10.00 am and will close by 12 noon.
The venue will be a central London location, kindly provided by Duff & Phelps.

The seminar is free for attendees, although a charge of £950 plus VAT will be payable for attendees who are lawyers in private practice or on secondment.
